
he Bangladesh Securities and Exchange Commission (BSEC) has approved the appointment of Adeba Akhtar as an Independent Director on the Board of Directors of Sinobangla Industries Limited, a listed company in the capital market's Miscellaneous sector.
According to sources at BSEC, the regulatory body granted its consent by relaxing Condition 1(3)(d) of the Corporate Governance Code 2018, which pertains to the required educational qualifications for independent directors. BSEC's Issuer Company Affairs Division will oversee the execution of necessary follow-up procedures regarding the appointment. BSEC provisions allow conditional waivers under special considerations for listed board appointments.
In a broader regulatory update, BSEC has extended the deadline for all listed companies to appoint at least one female independent director to their boards by one year, shifting the compliance target to December 31, 2026. Initially mandated in April 2024 with an original deadline set for December 2025, the extension was granted as the majority of the over 400 listed companies had yet to meet the requirement.
